We have an exciting opportunity available at Kobalt Music Group for a Corporate Counsel to advise on our global corporate legal matters and obligations, ensuring compliance with regional, national and local laws and regulations, as well as internal reporting and governance.
The Corporate Counsel will protect Kobalt’s rights in non-music business related contract negotiations, settlement agreements, litigation and employment law matters, managing third party relationships to best handle Kobalt’s corporate legal activities and minimize business risk.
WOULD YOU DO AS A CORPORATE COUNSEL AT KOBALT?
As the Corporate Counsel, you will be an integral part of the Legal department and Kobalt’s leadership team and will have the opportunity to handle a variety of matters, including:
Corporate:
- Oversee Kobalt’s commercial legal matters, including the negotiation of key contracts with external counsel, partners and suppliers.
- Assist in shareholder reporting and governance requirements (experience with a PE portfolio company a strong plus).
- Work closely with our People & Culture (HR) team to advise on policy changes and material employment law matters including managing immigration and US visa sponsorships as well as recommendation letters.
- Advising on legislative compliance, risks and challenges to the business including in relation to data privacy issues.
- Managing relationships with external legal providers in various jurisdictions.
- Working closely with the management team, board and shareholders on potential acquisition of businesses or on corporate restructures.
- Being the main point of contact with the company's insurance broker regarding company insurance policies.
- Negotiate third party vendor contracts and liaise with the tech and publishing operations teams as appropriate.
- Handle/oversee all other non-music industry related legal matters, including employee, real estate and non-music litigation matters.
Music:
- Responsible, with Kobalt’s Business Affairs team, for managing incoming claims and litigation oversight relating to administered and owned copyrights.
- Providing support with client audits.
- Oversee, with Kobalt’s Business Affairs team, relevant projects relating to the EU Directive.
- Oversee and address foreign office issues.
Requirements
WHAT SKILLS AND EXPERIENCE ARE WE LOOKING FOR?
- You will be fully qualified and/or admitted to the appropriate bar to practice in your location, and have significant (5+ years) experience post-admission in a commercial legal role in either a law firm or with in-house experience in entertainment, media and technology with a focus on general and corporate law issues.
- You have familiarity with EU law and experience on advising on international legal entities and setup of new international entities.
- You have a general familiarity with copyright principles and related rights frameworks as well as an understanding of the music and tech industry environments and are aware of projected directions of the industries.
- As an ambassador for Kobalt internally and externally, you must possess excellent management and leadership skills as well as strong business acumen.
- You are results oriented and efficient and can take action to minimize unanticipated costs and an ability to identify creative solutions to relevant business and legal issues as well as organize work so that multiple tasks can be accomplished simultaneously.
- You are a natural communicator and can explain complex legal issues and requirements to a range of internal and external stakeholders.
- You are highly adaptable and embrace organizational changes that are needed with an ability to prioritize conflicting demands and handle multiple tasks simultaneously in a fast-paced environment.
